By accessing or using Asteri ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users, including organization owners, administrators, and team members.

2. Description of Service

Asteri is a service management platform designed for service businesses. Our features include:

• Customer relationship management (CRM)
• Appointment scheduling and management
• Team and employee management
• Invoicing and payment processing
• Google Business Profile integration
• Analytics and reporting

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to bind yourself or your organization to these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Google Business Profile Integration

4.1 Authorization

By connecting your Google Business Profile to Asteri, you represent and warrant that:

• You are the owner or authorized manager of the Google Business Profile
• You have the authority to grant Asteri access to the profile
• You understand what data Asteri will access and how it will be used

4.2 Data Access

When you connect your Google Business Profile, you authorize Asteri to:

• Read your business location information
• Access and display customer reviews
• Post responses to reviews on your behalf
• Create, edit, and delete business posts
• Access performance metrics and insights

4.3 Your Responsibilities

You are responsible for:

• Ensuring review responses comply with Google's policies
• The accuracy and appropriateness of posts published through our platform
• Complying with all applicable laws regarding business communications

4.4 Disconnection

You may disconnect your Google Business Profile at any time through the Settings page. Upon disconnection, all cached data will be immediately and permanently deleted from our systems.

5. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Post fraudulent, misleading, or spam content
• Impersonate another person or business
• Attempt to gain unauthorized access to other accounts or systems
• Use automated means to access the Service without permission
• Interfere with or disrupt the Service
• Violate Google's Terms of Service or policies
• Post fake reviews or manipulate business ratings

6. AI-Generated Content

Asteri may offer AI-powered features such as review response suggestions.

• AI-generated content is provided as suggestions only
• You are responsible for reviewing and approving any content before it is posted
• Asteri does not guarantee the accuracy or appropriateness of AI suggestions
• You retain full responsibility for all content posted to your Google Business Profile

7. Subscription and Payments

7.1 Pricing

Some features of Asteri require a paid subscription. Current pricing and features are available on our pricing page.

7.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all applicable fees.

7.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period.

8. Intellectual Property

8.1 Our Property

Asteri and its original content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain all rights to content you submit through the Service. By submitting content, you grant us a license to use, display, and process that content to provide the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• The results from using the Service will meet your requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTERI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months prior to the claim.

11. Indemnification

You agree to indemnify and hold harmless Asteri, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you post through the Service

12. Third-Party Services

The Service integrates with third-party services including Google Business Profile. Your use of these integrations is subject to the third party's terms of service. We are not responsible for third-party services or their availability.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or third parties
• Is fraudulent or illegal

Upon termination, your right to use the Service will immediately cease. We will delete your data in accordance with our Privacy Policy.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
