1. Acceptance of Terms
By accessing or using Asteri ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms apply to all users, including organization owners, administrators, team members, and end customers who book services through the platform.
2. Description of Service
Asteri is a software-as-a-service (SaaS) platform designed for service businesses. Our features include:
- Customer relationship management (CRM)
- Online booking and appointment scheduling
- Team and employee management
- Invoicing, estimates, and payment processing
- Google Business Profile integration
- Analytics, reporting, and AI-powered tools
- Automated workflows and communications
3. Platform Role & Marketplace Disclaimer
Asteri is a technology platform, not a service provider.Asteri provides software tools that enable independent service businesses ("Service Providers") to manage their operations, accept bookings, and process payments. Asteri does not employ, supervise, direct, control, or endorse any Service Provider.
If you are a customer booking services through the Asteri platform, your contractual relationship for the services is directly with the Service Provider, not with Asteri. Asteri is not a party to any agreement between you and a Service Provider and assumes no liability for the acts, omissions, quality, safety, legality, or timeliness of any services performed.
Asteri does not guarantee that any Service Provider is licensed, insured, bonded, or certified. It is the customer’s responsibility to verify the qualifications of any Service Provider before booking.
Assumption of Risk: By booking a service through the Asteri platform, you expressly acknowledge and agree that you assume all risk arising from or relating to the services performed by a Service Provider, including without limitation any risk of property damage, personal injury, or dissatisfaction with the quality of work performed. You release Asteri from any and all claims, demands, and damages of every kind arising out of or in any way connected with the services provided by a Service Provider.
4. Account Registration
4.1 Eligibility
You must be at least 18 years old and have the legal authority to bind yourself or your organization to these Terms.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.
4.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
5. Payment Processing
5.1 Stripe Connect
Payment processing on the Asteri platform is provided by Stripe, Inc. ("Stripe") through Stripe Connect. When a customer makes a payment for a booked service, the funds are processed by Stripe and transferred to the Service Provider’s connected Stripe account, less any applicable processing fees. Asteri does not hold, escrow, or have custody of customer funds at any point during the transaction.
5.2 Payment Terms
By making a payment through the platform, you agree to Stripe’s Consumer Terms of Service. All prices are displayed in US Dollars (USD) unless otherwise stated.
5.3 Processing Fees
Standard payment processing fees apply to all electronic transactions. If a Service Provider elects to pass processing fees to the customer, this will be clearly disclosed before payment.
5.4 Refunds & Cancellations
All refunds and cancellations are governed by our Refund & Cancellation Policy.
6. Google Business Profile Integration
6.1 Authorization
By connecting your Google Business Profile to Asteri, you represent and warrant that:
- You are the owner or authorized manager of the Google Business Profile
- You have the authority to grant Asteri access to the profile
- You understand what data Asteri will access and how it will be used
6.2 Data Access
When you connect your Google Business Profile, you authorize Asteri to:
- Read your business location information
- Access and display customer reviews
- Post responses to reviews on your behalf
- Create, edit, and delete business posts
- Access performance metrics and insights
6.3 Your Responsibilities
You are responsible for:
- Ensuring review responses comply with Google's policies
- The accuracy and appropriateness of posts published through our platform
- Complying with all applicable laws regarding business communications
6.4 Disconnection
You may disconnect your Google Business Profile at any time through the Settings page. Upon disconnection, all cached data will be immediately and permanently deleted from our systems.
7. Service Provider Obligations
If you are a service business ("Service Provider") using the Asteri platform, you represent, warrant, and agree that:
- You hold all licenses, permits, and insurance required by applicable law to perform the services you offer through the platform
- Your service descriptions, pricing, and availability are accurate and up to date
- You are solely responsible for the quality, safety, and legality of all services you perform
- You will handle customer disputes, complaints, and refund requests in good faith and in accordance with the Refund & Cancellation Policy
- You will comply with all applicable laws, including consumer protection, employment, tax, and anti-discrimination laws
- You will comply with Stripe’s Connected Account Agreement and all payment card network rules
- You will not use the platform to facilitate services that are illegal, fraudulent, or prohibited by Stripe’s restricted business list
- You are an independent business and not an employee, agent, or representative of Asteri
Asteri reserves the right to suspend or remove any Service Provider that fails to meet these obligations, receives excessive complaints or chargebacks, or poses a risk to the platform’s reputation or integrity.
8. Acceptable Use
You agree NOT to:
- Use the Service for any illegal purpose or in violation of any applicable law
- Post fraudulent, misleading, or spam content
- Impersonate another person or business
- Attempt to gain unauthorized access to other accounts or systems
- Use automated means (bots, scrapers) to access the Service without permission
- Interfere with or disrupt the Service or its infrastructure
- Violate Google's Terms of Service or policies
- Post fake reviews or manipulate business ratings
- Use the platform to facilitate fraudulent transactions or money laundering
- Abuse the refund, chargeback, or dispute process in bad faith
9. AI-Generated Content
Asteri may offer AI-powered features such as review response suggestions, floor inspection analysis, and proposal generation.
- AI-generated content is provided as suggestions only and may contain errors
- You are solely responsible for reviewing and approving any content before it is published or acted upon
- Asteri does not guarantee the accuracy, completeness, or appropriateness of AI-generated content
- You retain full responsibility for all content posted to any external platform
- AI features are subject to usage limits based on your subscription tier
10. Subscription and Payments
10.1 Pricing
Some features of Asteri require a paid subscription. Current pricing and feature availability are listed on our pricing page. We reserve the right to change pricing with 30 days’ notice.
10.2 Billing
Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all applicable fees. Failure to pay may result in suspension or termination of your account.
10.3 Cancellation
You may cancel your subscription at any time from your dashboard settings. Upon cancellation, you will retain access until the end of your current billing period. No prorated refunds are issued for partial billing periods.
10.4 Free Trial
We may offer a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel before the trial ends.
11. Intellectual Property
11.1 Our Property
The Asteri platform, including its software, design, logos, documentation, and all original content, is owned by Asteri and protected by copyright, trademark, and other intellectual property laws.
11.2 Your Content
You retain all rights to content you submit through the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, store, and process that content solely to provide and improve the Service.
11.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by Asteri without any obligation to you.
12. Data Ownership & Portability
Your business data (customers, appointments, invoices, etc.) belongs to you. You may export your data at any time through the platform’s export features. Upon account termination, we will retain your data for 30 days to allow retrieval, after which it will be permanently deleted.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- The Service will be uninterrupted, error-free, or secure
- Defects will be corrected in any particular timeframe
- The Service is free of viruses or harmful components
- The results from using the Service will meet your requirements
- Any Service Provider found through the platform is qualified, licensed, insured, or reliable
- AI-generated content is accurate, complete, or appropriate for any particular use
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTERI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF WHETHER ASTERI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability for any claims shall not exceed the greater of (a) the amount you paid us in the twelve (12) months prior to the claim or (b) one hundred dollars ($100). This limitation applies regardless of the theory of liability, whether based in contract, tort (including negligence), strict liability, or any other legal theory.
15. Indemnification
You agree to indemnify, defend, and hold harmless Asteri, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising from or related to:
- Your use of the Service
- Your violation of these Terms or any applicable law
- Your violation of any third-party rights
- Content you submit or publish through the Service
- Services you perform or fail to perform as a Service Provider
- Any chargeback, payment dispute, or fraudulent transaction involving your account
16. Third-Party Services
The Service integrates with third-party services including Google Business Profile, Stripe, Twilio, and others. Your use of these integrations is subject to each third party’s terms of service and privacy policy.
17. Termination
We may suspend or terminate your account immediately, without prior notice or liability, for conduct that we reasonably believe:
- Violates these Terms or any applicable law
- Is harmful to other users, third parties, or Asteri
- Is fraudulent, abusive, or involves misuse of the platform
- Involves excessive chargebacks or payment disputes
- Poses a risk to the security or integrity of the platform
Survival:Sections 3 (Platform Role & Disclaimer), 5 (Payment Processing), 11 (Intellectual Property), 12 (Data Ownership), 13 (Disclaimer of Warranties), 14 (Limitation of Liability), 15 (Indemnification), 19 (Dispute Resolution), 20 (Governing Law), 22 (Severability), and this survival provision shall survive any expiration or termination of these Terms.
18. Force Majeure
Asteri shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power outages, internet or telecommunications failures, or cyberattacks.
19. Dispute Resolution & Arbitration
19.1 Informal Resolution
Before filing any formal dispute, you agree to first contact us at legal@getasteri.com and attempt to resolve the dispute informally for at least 30 days.
19.2 Binding Arbitration
If the dispute cannot be resolved informally, you and Asteri agree to resolve it through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Baltimore County, Maryland. Each party shall bear its own attorneys’ fees and costs, except that AAA filing and administrative fees shall be allocated in accordance with AAA rules.
19.3 Class Action Waiver
YOU AND ASTERI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
19.4 Small Claims Exception
Either party may bring an individual action in small claims court for disputes within the court’s jurisdictional limits.
20. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions.
21. Changes to Terms
We reserve the right to modify these Terms at any time. For material changes affecting paid subscriptions, we will provide 30 days’ advance notice via email. Your continued use of the Service after changes are posted constitutes acceptance.
22. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
23. Electronic Communications Consent
By using the Service, you consent to receive communications from us electronically, including emails, platform notifications, and SMS messages.
24. Notices
Notices to you may be sent to the email address associated with your account. Notices to Asteri must be sent to legal@getasteri.com or by mail to 4503 Forge Road, Perry Hall, MD 21128.
25. No Waiver
The failure of Asteri to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
26. Assignment
You may not assign or transfer these Terms without Asteri’s prior written consent. Asteri may assign these Terms without restriction.
27. Service Availability
Asteri does not guarantee any specific level of uptime or availability. We will make commercially reasonable efforts to minimize downtime but make no warranties regarding continuous, uninterrupted access.
28. Entire Agreement
These Terms, together with the Privacy Policy, Refund & Cancellation Policy, and Cookie Policy, constitute the entire agreement between you and Asteri regarding the Service.
